TERMS OF SERVICE

1. Agreement to Terms
By accessing or using OTHER10's services, you agree to be bound by these Terms of Service. If you disagree with any part of these terms, you may not access our services.
2. Services Description
OTHER10 provides custom web design, SaaS platform development, UI/UX design, and related software development services. All services are provided on a project basis with clearly defined scope, timeline, and deliverables as outlined in individual project agreements.
3. Project Engagement
All projects begin with a consultation phase. Following consultation, a detailed Statement of Work (SOW) will be provided outlining project scope, deliverables, timeline, and payment terms. Work commences upon signed SOW and receipt of initial payment.
4. Payment Terms
Payment schedules are defined in individual project agreements. Typical structure includes an initial deposit (30-50%), milestone payments, and final payment upon project completion. All payments are due within 15 days of invoice date. Late payments may incur interest charges of 1.5% per month.
5. Intellectual Property
Upon full payment, clients receive ownership of custom work created specifically for their project. OTHER10 retains rights to any pre-existing code, frameworks, libraries, or methodologies used in project delivery. OTHER10 reserves the right to showcase completed projects in our portfolio unless otherwise agreed in writing.
6. Warranties and Limitations
OTHER10 warrants that all services will be performed in a professional manner consistent with industry standards. We provide a 90-day warranty for bug fixes on delivered code. We do not warrant that services will be uninterrupted or error-free, nor do we make warranties regarding third-party services or integrations.
7. Limitation of Liability
OTHER10's total liability shall not exceed the total amount paid by the client for the specific project in question. We are not liable for indirect, incidental, special, or consequential damages, including lost profits or data.
8. Termination
Either party may terminate a project with written notice. Upon termination, client is responsible for payment of all work completed to date. OTHER10 reserves the right to terminate services immediately if payment terms are not met.
9. Confidentiality
Both parties agree to maintain confidentiality of proprietary information shared during the course of the engagement. This obligation survives termination of the agreement.
10. Governing Law
These terms are governed by the laws of the Commonwealth of Virginia, United States. Any disputes shall be resolved in the courts of Charlottesville, Virginia.
11. Changes to Terms
OTHER10 reserves the right to modify these terms at any time. Changes will be effective upon posting to our website. Continued use of services constitutes acceptance of modified terms.
